OVERVIEW

This website is operated by She Rich Digital LLC. Throughout the site, the terms “we”, “us” and “our” refer to She Rich Digital LLC. She Rich Digital offers this website, including all information, tools, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by the following Terms of Service (“Terms”), including any additional terms and conditions referenced herein or available by hyperlink. These Terms apply to all users of the site, including but not limited to browsers, vendors, customers, merchants, and contributors of content.

Please read these Terms carefully before accessing or using our website. If you do not agree to all the terms and conditions, then you may not access the site or use any of our services. Your continued use of the site following the posting of any changes constitutes acceptance of those changes.

SECTION 1 – ONLINE STORE TERMS

By agreeing to these Terms, you confirm that you are at least the age of majority in your state or province of residence or have given consent for any minor dependents to use this site.

You may not use our products or services for any illegal or unauthorized purpose, nor may you violate any laws in your jurisdiction, including copyright laws.

Any violation of these Terms will result in immediate termination of services.

SECTION 2 – GENERAL CONDITIONS

We reserve the right to refuse service to anyone at any time for any reason.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service or use of the Service without written permission.

All content may be transmitted unencrypted over various networks. Credit card information is always encrypted during transfer over networks.

SECTION 3 – ACCURACY, COMPLETENESS, AND TIMELINESS OF INFORMATION

Information on this site is provided for general purposes only and may not be accurate, complete, or current. Any reliance on this material is at your own risk.

SECTION 4 – MODIFICATIONS TO THE SERVICE AND PRICES

We reserve the right to modify or discontinue services or pricing at any time without notice. We are not liable for any changes or suspension of the Service.

SECTION 5 – PRODUCTS OR SERVICES

Certain products or services may be available exclusively online and may have limited quantities. Descriptions and prices are subject to change at any time. We reserve the right to limit or discontinue any product or service at any time.

SECTION 6 – ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to cancel or limit orders at our sole discretion. You agree to provide current, complete, and accurate purchase and account information for all transactions.

SECTION 7 – OPTIONAL TOOLS

We may provide access to third-party tools on an “as is” basis. Use of these tools is entirely at your own risk.

SECTION 8 – THIRD-PARTY LINKS

We are not responsible for third-party materials, websites, or services and will not be held liable for any issues arising from third-party use.

SECTION 9 – USER COMMENTS, FEEDBACK, AND OTHER SUBMISSIONS

We reserve the right to use, edit, or remove any comments submitted to us. Comments must not violate any rights or contain any unlawful or harmful content.

SECTION 10 – PERSONAL INFORMATION

Your submission of personal information is governed by our Privacy Policy.

SECTION 11 – ERRORS, INACCURACIES, AND OMISSIONS

We reserve the right to correct any errors, inaccuracies, or omissions and to cancel orders if any information is inaccurate at any time without prior notice.

SECTION 12 – PROHIBITED USES

You are prohibited from using the site or its content for any unlawful or harmful purposes, including but not limited to violating laws, infringing intellectual property, or engaging in discriminatory, harassing, or fraudulent behavior.

SECTION 13 – DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee that the service will be uninterrupted, secure, or error-free. The service and all products are provided “as is” without any warranties. She Rich Digital does not guarantee specific business outcomes, revenue increases, lead volume, conversion rates, advertising performance, algorithmic placement, or financial results. We are not liable for any direct, indirect, incidental, consequential, special, exemplary, or lost-profit damages arising from your use of the service, regardless of whether such damages were foreseeable or whether She Rich Digital was advised of the possibility of such damages. She Rich Digital’s total liability shall not exceed the total fees paid by Client under the applicable engagement.

SECTION 14 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless She Rich Digital LLC, its owners, officers, contractors, team members, and affiliates from any claim, demand, damages, losses, liabilities, or expenses (including reasonable attorney fees) arising from your breach of these Terms, your use of the Service, client-provided materials, platform violations, improper implementation of strategy, regulatory or compliance violations, or business losses suffered by you.

SECTION 15 – SEVERABILITY

If any provision is deemed unenforceable, the remaining provisions will remain in full effect.

SECTION 16 – TERMINATION

These Terms are effective unless terminated by either party. Either party may terminate upon seven (7) days’ written notice delivered via email. If you violate any Terms, we may terminate the agreement immediately and deny access to the Service. She Rich Digital reserves the right to terminate immediately, without notice, for non-payment, chargebacks, material breach, abusive conduct, reputational harm, or non-cooperation that impedes delivery of services.

SECTION 17 – CHARGEBACKS AND NO REFUND POLICY

All payments made for She Rich Digital services are non-refundable under any circumstance, including but not limited to early termination, dissatisfaction with deliverables, change in business direction, or failure to utilize services within the engagement period. She Rich Digital does not issue refunds. In the sole and exclusive discretion of She Rich Digital, a service credit may be offered in limited circumstances — however, this is not a right, entitlement, or guarantee, and shall not be construed as precedent for future engagements.

Any unauthorized chargebacks, payment disputes, or reversed payments constitute material breach and will result in the immediate termination of the project. The client will be held responsible for all costs, fees, damages, and reasonable attorney fees incurred by She Rich Digital as a result of chargebacks or payment disputes.

SECTION 18 – DIGITAL WORK POLICY

Clients are entitled to one (1) revision per deliverable. Additional revisions are $50 per round and are limited to one (1) additional round. If the client alters, interferes with, or undoes any digital work completed by She Rich Digital before the project is marked as complete, the project will be considered complete, and no further revisions will be made. If you wish to make additional changes after this point, you will need to rebook the service and pay for the additional work.

If paying in installments, deliverables are split by payment. No content is released ahead of payment.

Work may be shared publicly by She Rich Digital for portfolio and marketing purposes unless the client opts out in writing prior to the start of the engagement.

SECTION 19 – DORMANCY CLAUSE

If a project goes seven (7) business days with no communication or progress from the client, and no prior arrangement has been made, the project will be placed on hold and all associated files will be archived. A reactivation fee of fifteen percent (15%) of the total project cost is required to resume work. The project will be rescheduled when space becomes available in our current workflow.

SECTION 20 – DORMANCY CANCELLATION CLAUSE

If the project remains inactive for fourteen (14) total business days with no communication or progress from the client, and no prior arrangement has been made, the engagement will expire. At this point, no refunds will be given, and all deliverables associated with the project will be forfeited.

SECTION 21 – CLIENT RESPONSIBILITIES

Client shall provide accurate and complete information necessary for performance. Client shall provide timely access to platforms, accounts, advertising dashboards, payment processors, hosting environments, and software tools. Delays caused by Client extend She Rich Digital deadlines proportionally. Client is solely responsible for compliance with platform terms of service, advertising policies, consumer protection laws, and industry regulations.

SECTION 22 – CONTENT APPROVAL

Where Client approval is required, Client shall approve or request revisions within three (3) business days. Failure to respond within three (3) business days constitutes deemed approval. She Rich Digital shall not be responsible for performance outcomes following Client approval.

SECTION 23 – PLATFORM AND THIRD-PARTY DISCLAIMER

She Rich Digital is not liable for actions taken by third-party platforms including, without limitation, Meta, Google, Shopify, Stripe, hosting providers, email service providers, or payment processors. This includes but is not limited to account suspension, content removal, advertising disapproval, algorithm changes, tracking failures, downtime, enforcement actions, payment holds, or policy changes.

SECTION 24 – RIGHT TO REFUSE OR DISCONTINUE SERVICES

She Rich Digital reserves the right to discontinue service at any time for clients who are disrespectful, unresponsive, in breach of agreement, or create a hostile working relationship. No refunds will be issued under these circumstances. Any paid work will be delivered up to the value received.

SECTION 25 – INTELLECTUAL PROPERTY

Upon full payment, Client owns final deliverables created specifically for Client’s brand under the applicable engagement. She Rich Digital retains ownership of all proprietary systems, methodologies, templates, frameworks, processes, internal documentation, strategic models, and pre-existing intellectual property. She Rich Digital may use generalized learnings, non-confidential methodologies, and anonymized insights for future business purposes.

SECTION 26 – GHOSTWRITING, CREDIT & INTELLECTUAL PROPERTY

If you request She Rich Digital to create strategy, content, or deliverables without public credit: you may not claim authorship of content you did not create; you may not resell, teach, or redistribute our frameworks; full ownership is transferred only after final payment is received; a buyout fee will apply if full anonymity is requested.

SECTION 27 – CONFIDENTIALITY

Both parties agree to maintain the confidentiality of all non-public information disclosed during the engagement, including but not limited to business strategies, financial information, engagement pricing, proprietary frameworks, internal communications, and team member identities. Confidential information shall not include information that is publicly available, independently developed, or lawfully obtained from a third party without obligation of confidentiality. Confidentiality obligations survive termination and remain in effect indefinitely.

SECTION 28 – NON-DISPARAGEMENT

During the term of engagement and in perpetuity thereafter, Client agrees not to make, publish, or cause to be made any statement, whether written, oral, or digital, that is intended to or reasonably likely to disparage, defame, or damage the reputation of She Rich Digital, its owners, officers, contractors, team members, or affiliates. Disparaging statements include, but are not limited to: negative public reviews that misrepresent the scope, cost, or nature of services provided; social media posts, comments, stories, or threads intended to damage She Rich Digital’s reputation; statements made to prospective or current clients that discourage engagement; and screenshots, recordings, or reproductions of private communications shared publicly without written consent. She Rich Digital agrees to the same obligation regarding Client. If Client has a concern or complaint regarding services, Client agrees to raise such concerns directly with She Rich Digital at office@sherichdigital.com before making any public statement. Nothing in this section prohibits either party from providing truthful testimony if compelled by law.

SECTION 29 – REMEDIES FOR BREACH OF NON-DISPARAGEMENT

In the event of a breach of the Non-Disparagement provision, She Rich Digital shall be entitled to seek injunctive relief, including removal of disparaging content, without the requirement of posting a bond. The breaching party shall be liable for all actual damages, including lost revenue, diminished brand value, and costs of reputation repair. She Rich Digital reserves the right to pursue liquidated damages of five thousand dollars ($5,000) per violation, in addition to any actual damages. The prevailing party shall be entitled to recover reasonable attorney fees, court costs, and expenses.

SECTION 30 – NON-SOLICITATION

During the term of engagement and for twelve (12) months following termination, Client shall not directly or indirectly solicit, recruit, or hire any contractors, subcontractors, or team members of She Rich Digital without prior written consent.

SECTION 31 – NON-DISCLOSURE AGREEMENT (NDA) POLICY

Clients may request an NDA. We reserve the right to review and amend any NDA before signing. We do not agree to non-competes or terms that prevent reuse of general systems and strategies. Signing an NDA does not grant early ownership of intellectual property.

SECTION 32 – DISPUTE RESOLUTION

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration conducted in the State of Maryland. The parties expressly waive any right to a jury trial. The parties waive any right to participate in class action lawsuits or class-wide arbitration. The prevailing party shall be entitled to recover reasonable attorney fees, costs, and expenses.

SECTION 33 – GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.

SECTION 34 – FORCE MAJEURE

Neither party shall be liable for delays or failure to perform obligations caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, platform outages, government action, internet service disruptions, or acts of God.

SECTION 35 – ENTIRE AGREEMENT

These Terms, together with any applicable Master Services Agreement or Statement of Work, constitute the entire agreement between the parties and supersede all prior discussions, negotiations, representations, and agreements, whether written or oral. Amendments or modifications must be made in writing. Electronic signatures shall be deemed valid and legally enforceable.

SECTION 36 – CHANGES TO TERMS OF SERVICE

We may update these Terms at any time. It is your responsibility to review this page regularly. Continued use of our services indicates acceptance of all changes.
